Cloud Backup Contract

Cloud backups contract terms and conditions that you must agree to complete the order.

CONTRACT AGREEMENT FOR THE CLOUD BACKUP SERVICE TERMS AND CONDITIONS

1. Although Les Progiciels Concept inc. does not have the mandate to monitor the transmitted data, it reserves the right to refuse and cancel a customer contract whose content is deemed harmful and / or offensive and / or does not comply with the laws. We also reserve the right to cancel a contract if the customer attempts to access, the backup site, by any other means than with Concept Gardien software.

2. The Concept Gardien Cloud Backup software is based on customer Email transmission system to confirm the outcome of the backup. It is therefore the customer’s responsibility to ensure that he receives emails and that they are not blocked by the spam system or antivirus software. The customer also has the responsibility to act accordingly if an Email notification contains error messages. The customer also has the responsibility to act accordingly if NO notification Email is received by Concept Gardien.

3. Les Progiciels Concept inc. reserves the right to send Email information to the customer to keep him informed of changes to the contract Terms and Conditions or any other matters by posting notices or links to them, which generally focuses on the services it provides.

4. The customer will be invoiced each month for the following month service. For the previous month, if the number of Gigabytes (G.B.) exceeds 1 G.B. of transmission, the customer will be invoiced a service charge of $10.00 and for the excess of each additional G.B.. The payment will be done automatically by direct debit and the customer will receive an Email confirmation.

5. If the customer takes the file verification option service, the service is limited to decompressing files on a hard disk and to verify the integrity of the files structure and to perform a diagnostic test with the WinZIP © application from Corel Corporation inc.. In no case we are mandated to verify the data stored in the files.

6. Les Progiciels Concept inc. cannot be held responsible for direct or indirect, incidental or consequential damages (including loss of business, profits, data loss, invalid backups or any similar item) based on a contract breach, tort (including negligence), product defaults or any other incident, even if, Les Progiciels Concept inc. or its representatives have been advised of the possibility of damage and that the recovery applied was ineffective.

7. If the customer wishes to terminate his contract, he will notify in writing, Les Progiciels Concept Inc., 15 days before the end of the term. After closing the account, the data remains on the server for up to 5 days. The customer can retrieve its data before this deadline. After the 5 day deadline, all data will be deleted.

8. Les Progiciels Concept inc. reserves the right to modify, at any time, the services it provides (or a part of the services) to its customers or end services partially or permanently, with or without notice.

9. The customer contract takes effect on the acceptation of the Online Contract Terms and Conditions. The activation of the service will start when the customer receives its username and password for the Cloud Backup Service. This date will determine the start of the invoicing process.

10. The Cloud backup service Terms and Conditions contract on our Internet Order form will prevail over any printed Terms and Conditions. The parties agree that Les Progiciels Concept inc. has the right to modify its service without further formality and to bring these changes in the Cloud Backup Service contract agreement Terms and Conditions.

11. If the customer becomes insolvent, declares bankruptcy or ceases its operations, this contract becomes null and voided.

12. Les Progiciels Concept Inc. cannot be considered in default in the performance of the obligations contained herein if performance is either delayed, prevented or hindered as a result of absolute necessity. Fortuitous events being beyond Les Progiciels Concept inc. control and could not reasonably be foreseen. This includes Internet interruption and / or other services at that level.

13. The parties acknowledge, for all claims or legal proceedings, on any grounds, related to the contract to choose the District of Terrebonne, Province of Québec, Canada.

14. The parties agree and recognize that the essential terms of the contract have not been imposed by one party or the other, but have been the subject of discussion in between them. Furthermore, each party declares to generally understand the obligations which they were bound and freely signed the current contract.
